Agreement to these terms

These Terms of Service govern access to and use of Relay, a relationship-management platform provided by Excalibur Interactive. By creating an account, accepting a workspace invitation, or using Relay, you agree to these terms. If you use Relay for a company or other organization, you represent that you have authority to accept these terms on its behalf.

Accounts and workspaces

You must provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized access. Workspace owners and administrators control membership, permissions, connected services, and the information stored in their workspace. You are responsible for activity performed through your account and for ensuring that your use of Relay complies with applicable law and your organization's policies.

Acceptable use

You may not use Relay to:

• break the law or violate another person's rights;
• send spam, deceptive messages, or unlawful marketing;
• access accounts, systems, or data without authorization;
• upload malicious code or interfere with the service;
• circumvent usage limits, security controls, or access restrictions; or
• resell or copy Relay except under a separate written agreement.

Your content and contacts

You retain ownership of the contacts, messages, files, and other content you submit to Relay. You grant Excalibur Interactive a limited right to process that content only as needed to operate, secure, maintain, and support Relay. You are responsible for having the permissions and lawful basis required to collect, store, use, and communicate with the people represented in your content.

Email and communications

Relay may help a workspace send individual emails, automated sequences, and other communications. The workspace and its users are responsible for message content, recipient consent, required disclosures, unsubscribe requests, and compliance with applicable email, privacy, and marketing laws. Relay may limit or suspend sending activity that threatens deliverability, security, or the service's reputation.

Connected services

Relay can connect with third-party services such as Google Gmail, Meta, payment processors, and infrastructure providers. Your use of those services remains subject to their own terms and policies. When you connect Gmail, you authorize Relay to use the permissions you approve to send messages that you initiate or configure. We are not responsible for a third party's availability, changes, or handling of information outside Relay. You may disconnect supported integrations from your workspace settings or through the applicable provider.

Plans, billing, and cancellation

Relay may offer free and paid plans. Paid subscriptions are billed at the price, interval, seat count, and capacity shown when the purchase is confirmed. Subscriptions renew automatically until changed or canceled. Upgrades and added capacity may be charged when approved; downgrades generally take effect at the next renewal. The current paid period is non-refundable except where required by law. Workspace owners or authorized billing managers can review and manage plan details from Relay's subscription settings.

Service operation

We work to keep Relay secure and available, but the service may occasionally be interrupted for maintenance, security, provider failures, or circumstances beyond our control. We may update, replace, or discontinue features as the service evolves. We may suspend access when reasonably necessary to address nonpayment, security risks, unlawful activity, or a material violation of these terms.

Intellectual property

Relay, including its software, design, branding, and documentation, is owned by Excalibur Interactive and its licensors. These terms do not transfer any ownership interest in Relay to you. Feedback may be used to improve the service without restriction or compensation.

Disclaimers and limitation of liability

Relay is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Excalibur Interactive disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, Excalibur Interactive will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our aggregate liability arising from Relay will not exceed the amount paid for the service during the twelve months before the event giving rise to the claim.

Changes to these terms

We may update these terms as Relay changes. The updated version will be posted here with a revised date. If a change materially affects your rights, we will provide reasonable notice through Relay or the email address associated with your account. Continued use after the effective date means you accept the updated terms.
